David: An mp3 file encodes a sound wave signal .. eg a particular performance of music whereas a midi file encodes the instructions for *creating* a new performance of music. The actual performance is entirely dependent upon the instruments selected and how exactly a 'C+' note is performed for example. In other words, a midi file is basically a digital encoding of sheet music, which like sheet music needs the instruments and performer ( in this case either a computer and digital keyboard or digital drums etc ) in order to produce sound waves.

You can rearrange the instrument banks.. eg say 'play track 5 with an organ instead of drums' and it will still play musically.. but rather differently. You can also transpose the base key and similarly change the performance.

I have no idea whether this is distinct legally, but it does feed into your comment below regarding playing off sheet music vs a backing track and how this impacts licensing of such.
